From 1 March 2012 shareholders in joint stock companies (AB) and private limited liability companies (UAB) will be able to pay themselves dividends for periods shorter than a financial year. Payment of dividends will be initiated by shareholders owning shares conferring not less than one-third of the votes if a larger majority is not set in the Articles of Association. The decision will only be made by the General Meeting of Shareholders by a qualified majority whereas other corporate bodies will have to submit their views on a decision before it is made. →

The Lithuanian Labour Code (“LC”) bans employers from dismissing employees on parental leave. In a specific case the question arose whether the prohibition also applies to dismissing a director of a private company limited by shares (UAB). This is because a director’s legal status differs from that of other employees in that a director of a private company limited by shares acts both as a representative and as an employee. At the same time, the law recognizes that the body which appointed the director has an absolute right to terminate the appointment.
