How to wind up a company in Slovakia

In Slovakia, companies wind up their business through liquidation, unless they are insolvent. The liquidation ends with the deletion of the company from the Commercial Register.

The liquidation process is commenced with a winding-up decision of the shareholder(s) and the appointment of a liquidator. Usually, the managing director is appointed, although it is also possible to choose, for example, an attorney. The liquidator winds up the company’s business by selling its movable and immovable assets, collecting its open claims, settling its liabilities, ensuring the publication of the winding-up decision in the Slovak Trade Journal and filing for a deletion of the company. To make this possible, the liquidator will have to obtain several official approvals.

It is difficult to estimate how long the liquidation may take. As a rule of thumb, it generally takes approximately a year.
